PURCHASE PARTICIPATING MANUFACTURER PRODUCTS FROM A PARTICIPATING PRONTO NETWORK Warehouse Distributor AND EARN ONE POINT FOR EVERY DOLLAR SPENT. EVERY POINT EQUALS AN ENTRY IN THE WEEKLY AND GRAND PRIZE DRAWINGS. Promotion period: March 1 – April 30, 2024

63 Weekly winners will be randomly selected on Tuesday following the previous week of the promotion. The winners on the last week of the promotion will be randomly selected on May 7th. (3) Weekly Grand Prize Winners will receive (1) Full Throttle In Music City Package in Nashville, TN* (60) Weekly Prize Winners will each receive a $100 Visa gift card.

*Grand Prize:

(24) Grand Prizes, each being a trip for two (2) to Nashville, TN, October 18 - 21, 2024. Grand Prizes will be awarded by weekly drawings. The prize consists of round-trip coach air transportation for two (2) persons from the major commercial airport with regularly scheduled flights nearest the winner's permanent residence at the time of entry to Nashville, TN; three nights' hotel accommodation (standard double occupancy room and room tax only); and excursions. Group meals will be included. All event fees are also included. (The winners of the Grand Prize are referred to as the "Grand Prize Winners" and his/her guest as the "Guest"). The approximate retail value of the Grand Prize is $2,500. The actual value of the Grand Prize will vary depending on the Grand Prize Winner's permanent residence and airline rate fluctuations. The Grand Prize Winner will be solely responsible for all ground transfers between the winner's residence and airport of departure, gratuities, travel upgrades, personal incidentals, and any other expenses not specified herein. Sponsor reserves the right to substitute ground transportation in place of air transportation if the Grand Prize Winner resides within 100 miles of the destination. The Grand Prize Winner and Guest must travel on the same itinerary. Guest must be 18 years of age or older at the time of the trip. Travel is subject to availability. The Grand Prize Winner and Guest will be responsible for obtaining valid U.S. government identification and/or other required travel documents (as applicable) before travel and the associated costs for these and other requirements. The Grand Prizes will be awarded provided a sufficient number of eligible entries are received. Grand Prize is nontransferable; no substitutions or cash.

Each Grand Prize Winner will be required to execute and return an Affidavit of Eligibility and Liability and Publicity Release (unless prohibited by law) and Guest must execute and return a Liability and Publicity Release (unless prohibited by law) within 14 days of notification attempt or the prize may be forfeited, and an alternate winner selected in a random drawing from among all of the remaining eligible entries. In the event the Grand Prize Winner or Guest is considered a minor in the jurisdiction in which he/she resides, his/her parent or legal guardian must sign and return all required documentation. Promotion Entities shall not be responsible for any cancellations, delays, diversions, or substitutions or any act or omissions whatsoever by the air carriers, hotels, or other transportation companies or any other persons providing any of these services and accommodations to passengers including any results thereof such as changes in services or accommodations necessitated by same. Promotion Entities shall not be liable for any loss or damage to baggage. If either Grand Prize Winner or Guest becomes disabled or cannot otherwise fully enjoy the Grand Prize package due to illness or any other reason, Sponsor shall have the option at its sole discretion of: (1) being relieved of liability for fulfillment of the prize award; or (2) extending the period during which such prize may be awarded for a period determined in the sole discretion of Sponsor. The Grand Prize Winner or Guest must prove such disability by a doctor's certificate, which certificate shall be endorsed by another physician agreeable to Sponsor and the Grand Prize Winner at Grand Prize Winner's expense. If a Grand Prize Winner chooses not to take a Guest, or if any Guest does not sign the documentation as provided in these Official Rules within the time frame specified, then the Guest elements of the Grand Prize will be forfeited, and the other elements of the Grand Prize shall constitute full satisfaction of Sponsor's obligation to award the Grand Prize. Grand Prize Winners and Guests agree to comply with all venue rules and regulations and agree not to act in an unsportsmanlike or disruptive manner.

Prizes are provided "as is". Entrants acknowledge that the Promotion Entities have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to the prizes, including any express warranties provided by a prize supplier that may be sent along with the prizes and any implied warranty of merchantability or fitness for a particular purpose.

Sponsor will determine in its sole discretion the airline and hotel to be provided as part of the Grand Prize. All travel dates are subject to change in Sponsor's sole discretion. Travel restrictions, conditions, and limitations may apply. Travel arrangements are subject to availability and must be roundtrip.

All Grand Prize Winners will be required to supply Sponsor with his/her social security number for tax purposes. Taxes (if any) on prizes are the sole responsibility of the winner and guest. Prizes are nontransferable and cannot be assigned. Sponsor may, at its sole discretion, substitute a prize of equal or greater value if advertised prize becomes unavailable for any reason. Odds of winning a Prize depend on the total number of eligible entries received at the time of each draw.

APPROXIMATE RETAIL VALUE OF ALL PRIZES: As stated above. The ARVs are subject to change based on current market conditions at time of prize fulfillment and the time of travel and the distance between departure and destination. Any difference between the ARVs and the actual values, if any, will not be awarded.

Employees, officers, and directors of The Pronto Network, its Members, owners, affiliates, subsidiaries, advertising/promotional agencies, the other Promotion Entities, and the members of the immediate family of any of the foregoing (parents, siblings, children, and spouse) or those persons living in the same household, whether related or not, of such individuals are ineligible to participate in the Promotion.

If due to an error more prizes are claimed than are intended to be awarded, Sponsor reserves the right to award only the number of prizes intended in these Rules, and, if necessary, the correct number of winners will be determined in a random drawing.

By entering in the Promotion , entrant: (a) agrees to be bound by these Official Rules and by the interpretations of these Official Rules by Sponsor and by the decisions of Sponsor; (b) acknowledges compliance with these Official Rules; (c) agrees to comply with any and all applicable federal, state, and local laws, rules and regulations; and (d) releases and agrees to hold harmless The Pronto Network, its Members and owners, the other Promotion Entities, the respective companies, affiliates, subsidiaries, advertising/promotional agencies involved in the Promotion, and the employees, officers, directors, and agents of any of the above organizations from any and all liability for any injuries, losses, or damages to person (including death) and/or property of any kind caused in whole or in part, directly or indirectly, by participation in the Promotion or the acceptance, possession, or use/misuse of the prize or participation in any prize-related activities, and for any claim including claims based on defamation, publicity rights, invasion of privacy, copyright infringement, trademark infringement, or any other intellectual property related cause of action. By accepting a prize, winner grants the right to Sponsor to record, videotape, and photograph such winner ("Images"). These Images will be owned by Sponsor. Sponsor and each of its designees shall have the right to use, edit, adapt, post, stream, copy, and exploit such Images, and all elements embodied therein, including any names, likenesses, voice, conversation, and any other attributes of such winner, individually or with others, together with his/her name, address, as well as any statements made by such winner regarding the Promotion or Sponsor (provided they are true) in whole or in part, in conjunction with other material, if any, in any and all media now known or hereafter devised, for the purpose of trade, advertising, promotion, or any other lawful purpose whatsoever, in perpetuity, throughout the world, without additional compensation, consideration, notification, or permission, except where prohibited by law.

General Terms

The Promotion  Entities are not responsible if the Promotion cannot take place, or if any prize cannot be awarded due to delays, interruptions, or failures due to acts of God, pandemics,  war, natural disasters, weather, acts or threats of terrorism, strikes, lockouts, labor disputes, work stoppages, fire, acts of government, or other events outside of the reasonable control of the Promotion Entities. If for any reason, the Promotion is not capable of running as planned, including, without limitation, due to infection by computer viruses, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the reasonable control of the Promotion Entities, which, in Sponsor's sole determination, corrupts or affects the administration, security, fairness, integrity, or proper conduct of the Promotion, Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, or suspend the Promotion or any part of the Promotion. If the Promotion or any part of the Promotion is terminated or modified before the closing date of the Promotion, notice will be posted on www.networksweepstakes.com if time permits. Sponsor reserves the right to modify and amend these Official Rules from time to time during the Promotion period.

ANY VIOLATION OF THESE OFFICIAL RULES BY A WINNER WILL RESULT IN SUCH WINNER'S DISQUALIFICATION AS A WINNER OF THE PROMOTION AND ALL PRIVILEGES AS A WINNER WILL BE IMMEDIATELY TERMINATED.

ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAW AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEYS' FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. THE COURTS (STATE AND FEDERAL) LOCATED WITHIN SHELBY COUNTY, TENNESSEE SHALL HAVE SOLE JURISDICTION OF ANY CONTROVERSIES REGARDING THE PROMOTION AND THE LAWS OF THE STATE OF TENNESSEE SHALL GOVERN THE PROMOTION. EACH ENTRANT WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THESE COURTS AND HEREBY SUBMITS TO THE JURISDICTION OF THESE COURTS.
