RULES

PURCHASE PARTICIPATING MANUFACTURER PRODUCTS FROM A PARTICIPATING PRONTO NETWORK WAREHOUSE DISTRIBUTOR AND EARN UP TO TWO POINTS FOR EVERY DOLLAR SPENT. EVERY POINT EQUALS AN ENTRY IN THE WEEKLY AND GRAND PRIZE DRAWINGS. NO PURCHASE NECESSARY TO ENTER OR WIN. NO INDIVIDUAL PURCHASE ON ITS OWN WILL INCREASE YOUR CHANCES OF WINNING. *Weekly Prize:

(60) Weekly winners will be randomly selected by The Pronto Network, on the Tuesday following the previous week of the promotion. The winners in the last week of the promotion will be randomly selected on November 3rd. (60) Weekly Prize Winners will each receive a Technician Prize Pack (approximate retail value: $65 each).

*Grand Prize:

(10) Grand Prizes, each consisting of a trip for two (2) to the Daytona Beach, FL area, February 19–22, 2027. Grand Prizes will be awarded at the conclusion of the promotion. The prize consists of round-trip coach air transportation for two (2) persons from the major commercial airport with regularly scheduled flights nearest the winner's permanent residence at the time of entry to Orlando, FL; three (3) nights' hotel accommodations (standard double occupancy room and room tax only); group excursions; group meals; and all event fees. (The winners of the Grand Prize are referred to as the "Grand Prize Winners" and his/her guest as the "Guest.") The approximate retail value of each Grand Prize travel prize is $4,500 (exclusive of the prize certificate described below). The actual value of the travel portion of the Grand Prize will vary depending on the Grand Prize Winner's permanent residence and airline rate fluctuations. The total approximate retail value of the Ultimate Grand Prize (travel plus bass boat certificate) is $74,500. The total approximate retail value of each remaining Grand Prize (travel plus off-road vehicle certificate) is $14,500. The Grand Prize Winner will be solely responsible for all ground transfers between the winner's residence and airport of departure, gratuities, travel upgrades, personal incidentals, and any other expenses not specified herein. Sponsor reserves the right to substitute ground transportation in place of air transportation if the Grand Prize Winner resides within 100 miles of the destination. The Grand Prize Winner and Guest must travel on the same itinerary. Guests must be eighteen (18) years of age or older at the time of travel. Travel is subject to availability. The Grand Prize Winner and Guest will be responsible for obtaining valid U.S. government identification and/or other required travel documents (as applicable) before travel and any associated costs.

In addition to the travel prize, ONE (1) Grand Prize Winner will receive the Ultimate Grand Prize consisting of a prize certificate with a face value of $70,000, redeemable toward the purchase of a qualifying bass boat. The remaining NINE (9) Grand Prize Winners will each receive a prize certificate with a face value of $10,000, redeemable toward the purchase of a qualifying off-road vehicle of their choice from a selection of eligible models. Prize certificates must be redeemed within twelve (12) months of issuance and are subject to the terms and conditions of the issuing dealer and/or manufacturer and may not be redeemed for cash, except where required by applicable law or at the sole discretion of the Sponsor.

The Grand Prizes will be awarded provided a minimum of [11] eligible entries are received. Grand Prizes are non-transferable and may not be substituted or redeemed for cash except at the sole discretion of the Sponsor.

Each Grand Prize Winner will be required to execute and return an Affidavit of Eligibility and Liability and Publicity Release (unless prohibited by law) and Guest must execute and return a Liability and Publicity Release (unless prohibited by law) within 14 days of the first notification attempt (via email, phone, or mail at Sponsor’s discretion) or the prize may be forfeited, and up to three (3) alternate winners may be selected in successive random drawings from among all of the remaining eligible entries; if no valid winner is identified after three (3) such attempts, the prize will remain unawarded.

In the event a Grand Prize Winner or Guest is subsequently determined to have been under the age of majority in his/her jurisdiction of residence at the time of entry or travel, the prize will be awarded in the name of his/her parent or legal guardian (if not otherwise disqualified), who must sign and return all required documentation; provided, however, that Sponsor reserves the right to disqualify any such entrant or Guest and select an alternate winner. Promotion Entities shall not be responsible for any cancellations, delays, diversions, or substitutions or any act or omissions whatsoever by the air carriers, hotels, or other transportation companies or any other persons providing any of these services and accommodations to passengers including any results thereof such as changes in services or accommodations necessitated by same. Promotion Entities shall not be liable for any loss or damage to baggage. If either Grand Prize Winner or Guest becomes unable to travel due to a documented medical condition or other circumstances beyond his/her reasonable control, Sponsor shall have the option at its sole discretion of: (1) substituting a prize of comparable value that accommodates the winner’s or Guest’s situation; (2) extending the period during which such prize may be awarded for a period determined in the sole discretion of Sponsor; or (3) being relieved of liability for fulfillment of the affected portion of the prize award. The Grand Prize Winner or Guest must substantiate such inability to travel by providing a physician certificate within a reasonable time. If a Grand Prize Winner chooses not to take a Guest, or if any Guest does not sign the documentation as provided in these Official Rules within the time frame specified, then the Guest elements of the Grand Prize will be forfeited, and the other elements of the Grand Prize shall constitute full satisfaction of Sponsor's obligation to award the Grand Prize. Grand Prize Winners and Guests agree to comply with all venue rules and regulations and agree not to act in an unsportsmanlike or disruptive manner.

Prizes are provided "as is." To the fullest extent permitted by applicable law, entrants acknowledge that the Promotion Entities have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to the prizes, including any express warranties provided by a prize supplier that may be sent along with the prizes and any implied warranty of merchantability or fitness for a particular purpose.

Sponsor will determine in its sole discretion the airline and hotel to be provided as part of the Grand Prize. All travel dates are subject to change in Sponsor's sole discretion. Travel restrictions, conditions, and limitations may apply. Travel arrangements are subject to availability and must be roundtrip.

All Grand Prize Winners will be required to supply Sponsor with his/her taxpayer identification number (e.g., Social Security number or ITIN) for tax reporting purposes and must complete an IRS Form W-9 prior to receiving the prize. Prizes valued at $600 or more will be reported to the IRS on Form 1099-MISC. Taxes (if any) on prizes are the sole responsibility of the winner and guest. Prizes are nontransferable and cannot be assigned. Sponsor may, at its sole discretion, substitute a prize of equal or greater value if the advertised prize becomes unavailable for any reason. Odds of winning a Prize depend on the total number of eligible entries received at the time of each draw.

APPROXIMATE RETAIL VALUE OF ALL PRIZES: The total approximate retail value of all prizes is $240,100, consisting of: (60) Weekly Technician Prize Packs (ARV: $65 each; total ARV: $35,100); (10) Grand Prize trips (ARV: $4,500 each; total ARV: $45,000); (1) Ultimate Grand Prize bass boat certificate (ARV: $70,000); and (9) Grand Prize off-road vehicle certificates (ARV: $10,000 each; total ARV: $90,000). The ARVs are subject to change based on current market conditions at time of prize fulfillment and the time of travel and the distance between departure and destination. Any difference between the ARVs and the actual values, if any, will not be awarded.

Employees, officers, and directors of The Pronto Network, its Members, owners, affiliates, subsidiaries, advertising/promotional agencies, participating manufacturers, prize suppliers, the other Promotion Entities, and the members of the immediate family of any of the foregoing (parents, siblings, children, and spouse) or those persons living in the same household, whether related or not, of such individuals are ineligible to participate in the Promotion.

If due to an error more prizes are claimed than are intended to be awarded, Sponsor reserves the right to award only the number of prizes intended in these Rules, and, if necessary, the correct number of winners will be determined in a random drawing from among all legitimate prize claimants. In no event shall Sponsor be obligated to award more prizes than stated in these Official Rules.

By entering in the Promotion, entrant (and by accompanying a Grand Prize Winner, each Guest): (a) agrees to be bound by these Official Rules and by the reasonable interpretations of these Official Rules by Sponsor, whose decisions shall be final and binding in all matters relating to the Promotion; (b) acknowledges compliance with these Official Rules; (c) agrees to comply with any and all applicable federal, state, and local laws, rules and regulations; and (d) releases and agrees to hold harmless The Pronto Network, its Members and owners, the other Promotion Entities, the respective companies, affiliates, subsidiaries, advertising/promotional agencies involved in the Promotion, and the employees, officers, directors, and agents of any of the above organizations from any and all liability for any injuries, losses, or damages to person (including death) and/or property of any kind caused in whole or in part, directly or indirectly, by acceptance of or participation in the Promotion, the acceptance, possession, or use/misuse of the prize or participation in any prize-related activities (including, without limitation, any activity related to the Grand Prize trip), including but not limited to claims based on negligence (to the extent permitted by applicable law), and for any claim including claims based on defamation, publicity rights, invasion of privacy, copyright infringement, trademark infringement, or any other intellectual property related cause of action. By accepting a prize, winner (and Guest, by participating in any prize-related activities) grants the right to Sponsor to record, videotape, and photograph such winner and Guest ("Images"). These Images will be owned by Sponsor. Sponsor and each of its designees shall have the right to use, edit, adapt, post, stream, copy, and exploit such Images, and all elements embodied therein, including any names, likenesses, voice, conversation, and any other attributes of such winner and Guest, individually or with others, together with his/her name, address, as well as any statements made by such winner or Guest regarding the Promotion or Sponsor (provided they are true) in whole or in part, in conjunction with other material, if any, in any and all media now known or hereafter devised, for the purpose of trade, advertising, promotion, or any other lawful purpose whatsoever, in perpetuity, throughout the world, without additional compensation, consideration, notification, or permission, except where prohibited by law.

ALTERNATIVE METHOD OF ENTRY: To enter without making a purchase, an eligible entrant may hand-print his/her full name, complete mailing address, daytime telephone number, email address, and date of birth on a plain 3″ x 5″ card and mail it in a hand-addressed, stamped envelope to: Battle of the Bays Promotion, AMOE Entry, 2601 Heritage Ave., Grapevine, TX 76051. Mail-in entries must be postmarked no earlier than September 1, 2026, and no later than October 31, 2026, and received by November 7, 2026, to be eligible. Limit one (1) mail-in entry per outer mailing envelope. Each properly submitted mail-in entry will receive one (1) entry into the Promotion. No mechanically reproduced, photocopied, illegible, incomplete, postage-due, or automated entries will be accepted. Mail-in entries become the property of Sponsor and will not be returned. Proof of mailing does not constitute proof of receipt. Entrants who enter by mail will not receive points for purchases but will be eligible for the applicable Weekly Prize and Grand Prize drawings on the same basis as other eligible entrants, subject to these Official Rules. General Terms

The Promotion Entities are not responsible if the Promotion cannot take place, or if any prize cannot be awarded due to delays, interruptions, or failures due to acts of God, pandemics, war, natural disasters, weather, acts or threats of terrorism, strikes, lockouts, labor disputes, work stoppages, fire, acts of government, or other events outside of the reasonable control of the Promotion Entities. If for any reason, the Promotion is not capable of running as planned, including, without limitation, due to infection by computer viruses, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the reasonable control of the Promotion Entities, which, in Sponsor's sole determination, corrupts or affects the administration, security, fairness, integrity, or proper conduct of the Promotion, Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, or suspend the Promotion or any part of the Promotion. If the Promotion or any part of the Promotion is terminated or modified before the closing date of the Promotion, notice will be posted on www.prontonetworksweepstakes.com if time permits. Sponsor reserves the right to modify and amend these Official Rules from time to time during the Promotion period, provided that any material modifications will be posted on www.prontonetworksweepstakes.com and will not materially diminish the rights of existing entrants.

ANY MATERIAL VIOLATION OF THESE OFFICIAL RULES BY A WINNER MAY RESULT, AT SPONSOR’S SOLE DISCRETION, IN SUCH WINNER'S DISQUALIFICATION AS A WINNER OF THE PROMOTION AND ALL PRIVILEGES AS A WINNER WILL BE IMMEDIATELY TERMINATED.

ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAW AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEYS' FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. THE COURTS (STATE AND FEDERAL) LOCATED WITHIN TARRANT COUNTY, TEXAS SHALL HAVE SOLE JURISDICTION OF ANY CONTROVERSIES REGARDING THE PROMOTION AND THE LAWS OF THE STATE OF TEXAS SHALL GOVERN THE PROMOTION, WITHOUT REGARD TO CONFLICTS OF LAW PRINCIPLES, EXCEPT TO THE EXTENT THAT MANDATORY CONSUMER PROTECTION OR SWEEPSTAKES REGISTRATION LAWS OF AN ENTRANT’S STATE OF RESIDENCE APPLY AND CANNOT BE WAIVED. EACH ENTRANT WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THESE COURTS AND HEREBY SUBMITS TO THE JURISDICTION OF THESE COURTS. THE PROMOTION IS SUBJECT TO ALL APPLICABLE FEDERAL, STATE, AND LOCAL LAWS AND REGULATIONS, INCLUDING ANY APPLICABLE STATE REGISTRATION AND BONDING REQUIREMENTS.
